General Terms and Conditions (GTC) of IRALIS

1) Scope of Application

1.1 These General Terms and Conditions ("GTC") of IRALIS, Schaffhauserstrasse 11, 8006 Zürich, Switzerland (hereinafter referred to as "Seller"), apply to all agreements concluded by a consumer or business entity (hereinafter referred to as "Customer") with the Seller concerning all goods and services offered in the Seller’s online store. Any terms and conditions provided by the Customer are expressly rejected unless otherwise agreed in writing.
By visiting our site or purchasing something from us, you engage in our “Service” and agree to be bound by these terms and conditions (“Terms of Service,” “Terms”). These Terms apply to all users, including browsers, vendors, customers, merchants, and/or contributors of content.

1.2 Please read these Terms carefully before using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree, you may not use the website or services.

1.3 Any new features or tools added to the store shall be subject to these Terms. We reserve the right to update, change, or replace any part of the Terms by posting updates on our website. Continued use following any changes constitutes acceptance.

1.4 Our store is hosted on Shopify Inc., which provides the online e-commerce platform for our services.

2) Online Store Terms

By agreeing to these Terms, you confirm that you are at least the age of majority in your jurisdiction, or you have consented to your minor dependents using this site. You may not use our products for illegal or unauthorized purposes, or violate any laws in your jurisdiction. Any breach of the Terms will result in termination of your Services.

3) General Conditions

We reserve the right to refuse service to anyone for any reason at any time. Your content (excluding credit card information) may be transferred unencrypted across networks. Credit card information is always encrypted. You agree not to reproduce, sell, or exploit any part of the Service without express written permission.

4) Modifications to the Service and Prices

Prices are subject to change without notice. We reserve the right to modify or discontinue the Service without notice. We are not liable for any modification, price change, suspension, or discontinuance of the Service.

5) Products or Services

Certain products may be available exclusively online and may have limited quantities, subject to our Return Policy. We strive to display product colors accurately but cannot guarantee that your monitor’s display is accurate. We reserve the right to limit the sale of our products or services by region or jurisdiction and discontinue any product at any time.

6) Accuracy of Billing and Account Information

We reserve the right to refuse or limit orders. We may attempt to notify you in case of order changes via the contact information provided. You agree to provide accurate and current account information for all purchases. Please review our Returns Policy for more details.

7) Conclusion of Contract

7.1 The product descriptions in the Seller’s online store do not constitute binding offers but serve as an invitation to the Customer to submit a binding offer.

7.2 The Customer can submit a binding offer through the Seller’s online order form by placing goods and/or services into the shopping cart and completing the order process. By clicking the button to finalize the purchase, the Customer submits a binding offer for the goods in their cart.

7.3 The Seller may accept the Customer’s offer within five business days by:

  • Sending an order confirmation in writing or text form (email, fax);
  • Delivering the ordered goods to the Customer; or
  • Requesting payment from the Customer.

The contract is concluded once one of these events occurs. If the Seller does not accept the offer within five days, it is considered rejected.

7.4 The contract text will be stored and sent to the Customer in text form (email or letter). If the Customer has a user account, they can access the order data through their password-protected account.

7.5 Before submitting the order, the Customer can detect and correct input errors using standard keyboard and mouse functions. All entries can be reviewed and corrected in the final confirmation step.

7.6 The contract language is exclusively English.

7.7 Order processing and communication typically occur via email. The Customer must ensure that the provided email address is correct and capable of receiving emails from the Seller, including checking spam filters.

8) Right of Withdrawal

8.1 Consumers have a statutory 14 day right to withdraw from the contract. The right of withdrawal does not apply to personalized or made-to-order items.

8.2 Further details on the right of withdrawal are provided in the Seller’s cancellation policy.

8.3 The right of withdrawal does not apply to consumers outside the European Union who reside and have a delivery address outside the EU at the time of the contract.

9) Prices and Payment Terms

9.1 Unless stated otherwise, all prices listed include VAT for deliveries within Switzerland. For deliveries outside Switzerland, VAT is not included, and additional costs such as customs duties, taxes, or other import fees may apply and must be borne by the Customer.

9.2 Any applicable delivery or shipping costs will be displayed separately during the ordering process.

9.3 For deliveries outside Switzerland, additional costs related to money transfers (e.g., transfer charges or currency exchange fees) or import duties and taxes may arise and must be borne by the Customer.

9.4 Payment can be made through the methods specified in the Seller’s online store. In case of prepayment, payment is due immediately after the conclusion of the contract unless otherwise agreed.

9.5 If the Customer selects credit card payment, the invoice amount is due immediately upon contract conclusion. Credit card payments are processed via Stripe Payments Europe Ltd., which reserves the right to perform a credit check.

10) Delivery and Shipping Conditions

10.1 Delivery will be made to the address provided by the Customer unless agreed otherwise.

10.2 If delivery is not possible and the goods are returned to the Seller, the Customer bears the cost unless they validly exercise their right of withdrawal, or the failure to deliver was beyond their control.

10.3 For business entities, the risk of accidental loss or damage passes to the Customer as soon as the goods are handed to the carrier. For consumers, the risk passes upon delivery to the Customer.

10.4 The Seller reserves the right to withdraw from the contract in the event of incorrect or improper supply by suppliers. In such a case, the Seller will inform the Customer immediately and refund any payments made.

10.5 Self-collection of goods is not possible due to logistical reasons.

11) Retention of Ownership

The Seller retains ownership of the goods until full payment is received.

12) Liability for Defects (Warranty)

12.1 The statutory liability for defects applies unless otherwise specified. For business entities:

  • Insignificant defects do not give rise to any claims for defects;
  • The Seller may choose the method of subsequent performance;
  • For new goods, the limitation period for defect claims is one year from the date of delivery;
  • For used goods, defect claims are excluded.

12.2 These limitations do not apply to claims for damages arising from injury to life, body, or health, or if the Seller has fraudulently concealed defects.

13) Liability

The Seller’s liability follows statutory provisions. The Seller is liable for intent, gross negligence, and injury to life, body, or health.

14) Redemption of Promotional Vouchers

14.1 Promotional vouchers can only be redeemed in the online store and during the specified period.
14.2 Vouchers are non-transferable, non-refundable, and cannot be redeemed after the order process is completed.

15) Redemption of Gift Vouchers

15.1 Gift vouchers can be redeemed in the online store and are valid for three years. Remaining balances are credited to the Customer.
15.2 Vouchers are non-transferable, non-refundable, and cannot be used to purchase additional vouchers.

16) Personal Information

Personal information is governed by our Privacy Policy.

17) Optional Tools and Third-Party Links

We may provide access to third-party tools without control or monitoring. Third-party links may direct you to websites not affiliated with us.

18) User Comments, Feedback, and Submissions

The Seller may use, edit, or publish any comments submitted without obligation to maintain confidentiality or compensate the Customer.

19) Accuracy of Information

The Seller is not responsible for the accuracy, completeness, or timeliness of information on the site.

20) Prohibited Uses

The Customer is prohibited from using the site for unlawful purposes, including infringing intellectual property rights or submitting false information.

21) Disclaimer of Warranties and Limitation of Liability

The Seller does not guarantee uninterrupted or error-free service and disclaims liability to the extent permitted by law.

22) Indemnification

The Customer agrees to indemnify and hold harmless the Seller for any claims arising from their breach of these GTC or violation of any laws.

23) Severability

If any provision of these GTC is found unenforceable, the remaining provisions remain valid.

24) Termination

The Seller reserves the right to terminate access to the service without notice for breaches of the GTC.

25) Governing Law

These GTC are governed by Swiss law.

26) Changes to GTC

The Seller reserves the right to update the GTC at any time by posting updates on the website.
